These terms cover the website. The contract for any work we do for you is a separate, plain-English document you will see in full before you sign anything.

About these terms

These terms govern your use of the https://iisaw.com website, operated by IISAW (Innovative Integrated Software And Web). By using the site you accept them. If you do not, please do not use the site.

They cover the website only. Work we carry out for clients is governed by a separate written agreement, and where that agreement and this page disagree, the agreement wins.

Prices published on this site

We publish price bands because we think refusing to is unhelpful. They are honest indications based on real projects, not quotations, and they exclude VAT.

A price becomes binding only when it appears in a written quotation issued by us against an agreed scope. Nothing on this website constitutes an offer capable of acceptance, and we may change published bands at any time.

Accuracy of content

We take care to keep the guidance, timescales and technical explanations on this site accurate and current. They are general information rather than professional advice for your specific circumstances, and they should not be relied on as the sole basis for a commercial decision.

If something here is wrong, tell us and we will correct it.

Portfolio and client work

The projects shown in our portfolio are systems we designed, built or maintain. Some are our own commercial products; others were built for clients and are shown with their agreement.

Client names, branding and screenshots remain the property of their respective owners and are shown to illustrate our work, not to imply any endorsement of your use of this site. If you own material shown here and would like it removed, email us and we will do so.

Intellectual property

The design, text, images, code and structure of this website belong to us or our licensors and are protected by copyright.

You may view, download and print pages for your own reference or for the purpose of evaluating us as a supplier. You may not republish, sell, or systematically copy material from this site, or present it as your own, without written permission.

Code we write for clients

To be unambiguous, because it is the question we are asked most: intellectual property in software we build for a client transfers to that client in full on final payment, unless a specific written agreement says otherwise. That includes source code, database schemas, designs and documentation.

The exception is general-purpose libraries, tooling and open-source components, which remain under their own licences and are used rather than sold.

Acceptable use

You agree not to use this site in any of the following ways.

  • To attempt unauthorised access to the site, its servers, or any connected system.
  • To introduce malicious code, or to attack the site by denial of service or any similar means.
  • To scrape or harvest content systematically, including for the purpose of reproducing it elsewhere.
  • To send unsolicited commercial messages through the contact form.
  • For any unlawful or fraudulent purpose, or in any way that could damage or impair the site.

Links to other websites

Our portfolio links to live systems, some of which are operated by clients and not by us. Those sites have their own terms and privacy policies, and we are not responsible for their content, availability or practices.

A link is not an endorsement of anything beyond the fact that we worked on the software.

Availability

We aim to keep this website available at all times but do not guarantee it. Access may be suspended, withdrawn or restricted without notice, including for maintenance.

Service level commitments for hosting and support are set out in the relevant client agreement, not here.

Liability

To the extent permitted by law, we exclude liability for loss of profit, loss of business, loss of data, or any indirect or consequential loss arising from your use of, or inability to use, this website or from reliance on its content.

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.

Changes

We may revise these terms at any time by updating this page. The date shown at the top indicates when the current version took effect, and your continued use of the site after a change constitutes acceptance of it.

Governing law

These terms and any dispute arising out of them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
